“EMAlliance” made a decision on additional issue of shares

The sole shareholder of JSC “EMAlliance” – company «AUBURN INVESTMENTS LIMITED» (Republic of Cyprus) made a decision to increase JSC “EMAlliance” registered capital by placing of 240 million 150 thousand additional ordinary nominal uncertificated shares with nominal value 1 rbl. each within the number of announced ordinary nominal uncertificated shares.

In accordance with the made decision all the shares of the additional issue are placed to the sole shareholder of JSC “EMAlliance” – company «AUBURN INVESTMENTS LIMITED» and paid by monetary recourses.

The ordinary nominal book-entry shares of JSC “EMAlliance” placing price will be defined by the Board of Directors of JSC “EMAlliance” before the date of additional shares placement.

Any other terms of additional shares placement including placement period and order determining procedure, order and term of payment of offered additional shares, contracting procedure during additional shares placement shall be defined by the Decision on additional issue of shares of JSC “EMAlliance”.

Furthermore, the sole shareholder of EMAlliance has made a decision on introduction of alterations to the Articles of Association of JSC “EMAlliance”, according to which company has the right to place additionally to the offered shares 700 million ordinary nominal uncertificated shares and 100 million of preferred shares with nominal value 1 ruble. In accordance with the decision General Director of JSC “EMAlliance” was authorized to perform state registration of alterations to the Articles of Association.

As of today the authorized capital of JSC “EMAlliance” is 1 billion 601 million ordinary shares with nominal value 1 rbl.
